Installation and Use Rights:
Subject to the terms, conditions and limitations stated in this Agreement, Improsys grants You a non-exclusive, non-transferable, non-sublicensable, revocable, limited use license to run the Software on a desktop, laptop, tablet, smart phone, or other Software appropriate computer device that You own or control (any, a “Computer”). You are not permitted to use the Software for any purpose other than as expressly permitted under this Agreement. This license allows you to install only one instance of the software for use on one web server (details of web server as mentioned above), whether that device is physical or virtual. If you want to install the software on more than one web server, you must obtain a separate license for each instance. For details on separate license, please contact Improsys.
This license has been provided for 50 active users which can be created into the ERP software. License permits the access of ERP software to the authorized and active users in software to use, create, modify, view the data from the screens, reports provided in software as per the granted rights by the system admin of your company. The users can access the software from a web browser. We do not recommend to users to login and use the software by using the same login id on two different workstations. However, this does not allow the software to be installed on any of the end user’s device.
Software Support and Maintenance Services:
Briefly, IMPROSYS Software Support and Maintenance services consist of:
Reasonable amount of telephone support to assist client with the use of the IMPROSYS Products in accordance with Support Guidelines Enhancements made available to clients as available during the current maintenance term Subscription data, as applicable.
The correction of technical errors or non-conformities with the use of IMPROSYS Products in accordance with Support Guidelines;
1. Optional 8x6 Emergency Support
Optional Service- targeted towards enterprise clients, Improsys offers long-term, relationship-based, partnerships typically commencing during solution implementation. The service includes access to a Service Relationship Executive (SRE) acting as the IMPROSYS internal coordinator for all the resources and expertise required to ensure successful product support.
Support is provided to the nominated customer contact(s) as stated in the IMPROSYS License Agreement. Telephone support is available regionally at the times and contact numbers. The recognized IMPROSYS Public Holidays, when Improsys Software Support is not available, are also listed online. There are three methods for logging a new Case in the global IMPROSYS CRM system, as follows:
1. Login at the customer portal and enter the New Support request.
2. Call a Software Support Representative at the Contact Numbers
3. Send an e-mail to support@improys.in and your case will be assigned to the appropriate support office
Please note that we wish to offer the solutions to our client's problems in a quick and efficient way and for that purpose the support portal will play a great role and hence we request all software users to use the portal to communicate the problem/suggestion/requirement to Improsys support team.
Product Warranty and AMC:
Product bug free warranty will be applicable for 1 year. For priority support after the support period, AMC will be applicable. In case AMC is not opted by the client, please do get in touch with Improsys for AMC quotation.
Data isolation and Privacy:
We respect your right to ownership of content and data created or stored by you. You own the content created or stored by You. Your ERP data is stored in a database using a set of secure protocols in the framework. This ensures that your data is secured and cannot be accessed by anyone. The data is stored on your server when client uses our services. Improsys never shares or accesses customers data with any third-party without client’s consent.
Your database will be only accessed by our team whenever there is a requirement of service support and our team needs to access the data for checking the issue. Unless specifically permitted by you, permission is being granted by your team to access the database and check the issue. You grant Improsys permission to access, check, the content of Your data solely as required for the purpose of providing the Services to You.
Governing Law and Jurisdiction:
This Agreement will be governed by, construed and enforced in accordance with the laws of the State of Maharashtra, India.
Intellectual Property:
The software, source code, activation code, license keys, documentation, systems, ideas, information, content, design, logos and other matters related to the software and trademarks are the sole proprietary and intellectual property rights of Improsys protected under the Intellectual Property Laws and belongs to Improsys. Subject to certain terms mentioned in respective license where used by Improsys, nothing contained in this Agreement grants you or is intended to grant you any rights, title, interest to intellectual property, including without limitation any error corrections, enhancements, updates, or modifications to this software whether made by Improsys or any third party. You understand and acknowledge that you are provided with a license to use this software subject to the terms and conditions of this Agreement.

You are entitled to use this software from the date of license activation date. You understand, agree, and accept that you are entitled for the updates via Internet and technical support via the telephone for the duration of the active support period. You agree and understand that any unauthorized usage of this software or breach of any or all terms and conditions stated in the Agreement shall result in automatic and immediate termination of this Agreement as granted hereunder. Further, this may result in criminal and/or civil action by Improsys and/or its agents against you including but not limited to the right to block the key file/license key/product key without any prior intimation/notice to you.
General Disclaimers:
A. You agree, accept, and acknowledge:
i. That you are solely responsible for the software which is configured to you, and the actions or inactions that result from such actions and Improsys shall not have and shall assume no liability/responsibility in any case and the Clause of Indemnification shall be applicable.
ii. That Improsys shall not have and shall assume no liability/responsibility for any data deletion, including but not limited to any deletion/loss of personal, and/or confidential data; and/or uninstallation of third-party apps; and/or change in settings; specifically authorized by you or occurs due to the actions, inactions (whether intentional or not) by you or any third party whom you have authorized to use, handle your device due to features of this software.
iii. That to avail/use certain features of the software such as updates and upgrades, you may be required to incur certain costs and that Improsys does not warrant that the usage of certain features of the software are free of cost and that Improsys shall not entertain and expressly disclaims, any claim for reimbursement of any expenses including but not limited to any direct or incidental expenses arising out of your usage of such features of this software.
iv. That you are solely responsible and shall comply with all applicable laws, regulations of India and any applicable foreign/trans-national laws including without limitation, privacy, data protection, obscenity, confidentiality, copyright laws for using any report, data, information derived as a result of using this software.
Indemnification:
You expressly understand, admit, agree, and warrant that in no event shall Improsys and/or any of its directors, employees, be liable from any and against all claims, expenses, suits, costs, demands, judgments whatsoever made by you and/or any third party for any direct, indirect, incidental, special, punitive, consequential and/or exemplary damages including, but not limited to damages for loss of business/profits, damages for loss of confidential/other information, failure to meet any statutory duty/duty of reasonable care/duty in good faith, economic/notional loss, loss for business interruption, goodwill, damage and loss of data or programs, or other intangible losses (even if Improsys has been advised of the possibility of such damages), to the fullest extent permissible by law:i. Arising due to your usage of this software; ii. Your negligence or inability of using the software or support; iii. Any dispute between you and third party with respect to availing this software; iv. Your violation of any rights of any other individual and/or entity; v. Your breach of the Agreement; vi. Your violation of any provisions under any laws/statutes/acts in India or abroad; vii. The failure of Improsys to provide support service or any other service/information.
